Terms of Service

1. Overview
These Terms of Service ("Terms") govern your access to and use of services operated by Meaningful Creations Inc. under the GENXY brand, including the public website, web app and account surfaces, optional Discord-linked companion flows, and related AI media generation features (collectively, the "Services").
For these Terms, "Meaningful Creations," "we," "us," and "our" refer to Meaningful Creations Inc.
By accessing or using the Services, you agree to be bound by these Terms and our related policies:
If you do not agree to these Terms, do not use the Services.
1A. Service Operating Model and Dependency Disclosure
- The web app is the primary product surface for paid generation, result access, asset management, billing visibility, subscription management, usage history, and related account operations.
- Discord may remain available as an optional companion surface for supported entry, command, status, or notification flows, but Discord is not the primary product surface.
- Service operation materially depends on web app availability, integrated third-party AI provider availability, and payment infrastructure availability. Optional Discord companion flows also depend on Discord platform availability when used.
- By using the Services, you acknowledge that dependency-side outages, policy changes, latency, or access restrictions may affect fulfillment timing, quality, or availability.
- Paid generation access requires active entitlement state (such as an active subscription or available purchased points) and authenticated account access. Some optional companion integrations may also require a linked third-party identity where explicitly disclosed.
- We may change supported product surfaces, provider integrations, companion integrations, and fulfillment mechanics over time.
2. Eligibility
- You must meet the minimum age of digital consent in your jurisdiction.
- If you are below the age of legal majority where you live, a parent or legal guardian must review and accept these Terms on your behalf.
- You must be legally permitted to submit the prompts, media references, voices, likenesses, or other materials you use with the Services.
- You must not use the Services to interact with, target, profile, exploit, sexualize, groom, or endanger minors.
3. Accounts and Registration
- You must provide accurate, current, and complete account information.
- You are responsible for safeguarding your account credentials and for activity under your account.
- You may not transfer, sell, lease, or share your account without our prior written permission.
- Some optional companion integrations may require your account to be linked to a third-party identity where explicitly disclosed for that integration.
- You are responsible for all activity on your account and for any content submitted through your credentials, whether authorized by you or not, to the maximum extent permitted by law.
4. Acceptable Use
You agree not to use the Services for unlawful, abusive, fraudulent, deceptive, or prohibited activity. Prohibited uses include:
- violating applicable law, regulation, court order, sanctions restriction, or export control requirement;
- infringing or misappropriating third-party rights, including privacy, publicity, copyright, trademark, trade secret, or contractual rights;
- generating, requesting, uploading, or distributing illegal, hateful, violent, exploitative, sexually explicit, pornographic, harassing, or otherwise prohibited content;
- creating or distributing face swaps, deepfakes, voice impersonations, or other synthetic media that misuse a real person's identity, likeness, or voice without authorization or required consent;
- using the Services for biometric identification, face recognition, identity verification, surveillance, tracking, stalking, or similar monitoring of real persons without a lawful basis and all required rights and notices;
- inferring, classifying, scoring, or profiling sensitive personal attributes or protected characteristics, or using outputs to support discriminatory or unfair treatment;
- uploading, referencing, or submitting content without authorization or required consent;
- impersonating individuals, organizations, or authority figures, or using the Services for fraud, scams, phishing, or other deceptive conduct;
- using the Services to provide individualized legal, medical, financial, safety-critical, or other professional advice without qualified review and legally required disclosure;
- generating, distributing, or operationalizing malware, ransomware, exploit code, credential theft tools, or instructions to compromise systems;
- attempting to gain unauthorized access to systems, test for vulnerabilities, perform penetration testing, or scan networks using the Services, unless separately authorized by us in writing;
- scraping, harvesting, bulk-downloading, or systematically extracting outputs, model behavior, or platform content except through documented interfaces and within stated limits;
- reverse engineering, model extraction, prompt extraction, weight inference, or attempts to reconstruct proprietary models, training data, or system prompts;
- using outputs, service access patterns, or platform behavior to train, fine-tune, benchmark, or improve competing AI/ML systems in a way that competes with or substitutes the Services;
- bypassing, defeating, or attempting to evade safety mitigations, content filters, provenance mechanisms, abuse controls, access controls, quotas, rate limits, or geo-restrictions;
- creating or using multiple accounts, identities, or credentials to evade limits, enforcement, or payment obligations;
- generating spam, fake reviews, engagement manipulation, coordinated inauthentic behavior, or other mass-deceptive content;
- using the Services for weapons development, military targeting, critical-infrastructure compromise, self-harm assistance, or other high-risk scenarios that may create serious injury, death, or public-safety harm;
- interfering with service operation, degrading platform performance, or disrupting other users' access.
4A. Provenance, Disclosure, and Safety Controls
- You must not remove, alter, disable, or obscure provenance information, watermarks, content credentials, or metadata attached to outputs, including C2PA-style or equivalent origin disclosures where provided.
- You must not falsely represent AI-generated or AI-assisted content as entirely human-generated where disclosure is legally required or where the context would materially mislead others.
- You must not use the Services to evade, test, or probe our abuse-prevention, moderation, or safety enforcement systems.
4B. Provider Safety Filtering and Content Pre-filter Boundary
- Configurable content pre-filtering, where offered, is a safety aid rather than a warranty that unlawful, harmful, or policy-violating content will always be blocked.
- Your legal and policy obligations remain unchanged whether a configurable content pre-filter is enabled, reduced, or disabled.
- A successful generation result, missing block, or provider response does not mean the content is approved, compliant, or safe to publish or use.
- Even when a configurable pre-filter is reduced or disabled, baseline moderation, policy enforcement, abuse review, logging, or manual intervention may still apply through us or integrated providers.
- Integrated providers may process suspected risk-related prompts, inputs, outputs, and moderation metadata for troubleshooting, safety improvement, abuse prevention, legal compliance, or lawful requests under their own governing terms and policies.
4C. Responsible AI Use
- You must apply appropriate human judgment and review before relying on, publishing, distributing, or operationalizing outputs.
- You must perform reasonable testing and validation before using outputs in consequential contexts.
- You must provide disclosures where law or context requires disclosure that content is AI-generated or AI-assisted, or that a user is interacting with an AI system.
- You must use the Services only in age-appropriate and lawful contexts and must not design experiences that expose minors to inappropriate synthetic content.
- You must promptly stop using, sharing, or operationalizing outputs that appear unlawful, harmful, deceptive, or inconsistent with these Terms.
5. User Content, Inputs, Outputs, and License
- You represent that you own or are authorized to use content submitted to the Services.
- You retain ownership of your submitted content.
- As between you and GENXY, and to the extent permitted by law and third-party rights, you own the generated output created for your account.
- Outputs may not be unique, and other users may receive similar or identical outputs.
- We do not guarantee that outputs are copyrightable, non-infringing, or available for exclusive use.
- You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, reproduce, display, moderate, and otherwise use your content and outputs solely to operate, secure, support, enforce, and improve the Services.
- If you mark content as public, submit it to the showcase, or otherwise opt into public display, you grant a license for public display within the Services and related promotional surfaces.
6. Intellectual Property and Complaints
- The Services, platform software, product design, and platform marks remain our property or our licensors' property.
- Unauthorized copying, commercial resale, or derivative exploitation of platform components is prohibited except where explicitly permitted by law.
- Copyright complaint handling follows our Copyright Policy process via: copyright@genxy.app.
- If you believe content available through the Services infringes your rights, contact us with sufficient detail to identify the content, your claimed rights, and the requested action.
- We may remove or restrict content and may disable repeat infringers' accounts where reasonably necessary.
7. Billing, Subscriptions, and Merchant of Record
- Pricing and package details are published on the public pricing page.
- Billing may include recurring subscriptions and one-time point purchases.
- Checkout transactions are handled by the Merchant of Record or payment collection provider identified on the checkout surface, and payment processing may rely on associated payment networks and processors.
- Cancellations and refunds are governed by our Refund Policy.
7A. Points, Retention, and Post-Cancellation Access
- Subscription-issued points may accumulate across billing cycles, but each monthly grant expires automatically at the end of the sixth calendar month counted from its grant month.
- One-time purchased top-up points do not expire unless a shorter validity period is explicitly disclosed at purchase time.
- Closed-Beta registration grants, where offered, are invite-only temporary promotional grants rather than publicly sold subscriptions. Unless a shorter or longer window is explicitly disclosed, a Closed-Beta registration grant provides a one-month Closed-Beta service entitlement plus the disclosed one-time beta credit balance, and both expire automatically when that one-month beta window ends or when the granted beta balance is fully exhausted, whichever happens first.
- While a paid subscription remains active, your account keeps the subscribed plan tier for access-control purposes.
- If subscription cancellation takes effect and no spendable points remain, paid subscription benefits end when the already paid period ends.
- If subscription cancellation takes effect and residual subscription-issued or support/manual credits remain, the account falls back to the Basic tier while those spendable balances remain. That residual spend-down access ends when those balances expire or are fully consumed.
- Purchased top-up balances grant Creator-tier access while spendable purchased top-up points remain, unless an active subscription tier is higher.
- Closed-Beta balances grant Closed-Beta access, which is a temporary Master-equivalent beta entitlement, while spendable Closed-Beta registration-grant points remain and before the applicable beta grant expiry is reached.
- If no active subscription exists and no spendable points remain, no paid membership entitlement remains active.
7B. Failed Generation Settlement and Non-Refundable Paid Credits
- Point-backed generation requests reserve the required points when the request is accepted for processing.
- If a request succeeds, the reserved points are finalized as consumed.
- If a request fails terminally, is canceled, or times out before successful completion, the reserved points are automatically restored to your account balance; in those cases, the failed request does not permanently consume points.
- If a request is rejected after acceptance for processing because your prompt or supplied media violates our rules or an integrated provider's content policy for sexually explicit, pornographic, or comparable adult-prohibited content, the reserved points may be finalized as consumed rather than restored, and those consumed paid credits are non-refundable except where required by law.
- Except where required by law or where a refundable failure is attributable to us (for example, we charged you but could not deliver the paid service and could not reasonably remediate it), purchased top-up points, subscription charges, and paid point grants are non-refundable after purchase.
- Closed-Beta promotional grants, invite-only credits, or other no-charge beta balances are not cash-value products, are not redeemable for money, and are not refundable.
7C. Third-Party Service Dependencies
- Generation fulfillment depends on integrated third-party AI providers and may vary by provider status, model availability, moderation controls, and upstream API behavior.
- We may add, remove, replace, or reconfigure provider integrations when required for security, policy, cost, reliability, legal compliance, or product operations.
- Provider-side outages, refusals, or degradation may delay, limit, or prevent generation outcomes even when your account remains active.
8. Service Availability and AI Output Disclaimer
- AI-generated output may be inaccurate, incomplete, offensive, non-unique, or unsuitable for your intended purpose.
- You are responsible for reviewing and validating output before use, publication, or reliance.
- You remain responsible for downstream use of generated content even when moderation or content pre-filtering was enabled, disabled, unavailable, or did not block the content.
- We do not guarantee uninterrupted availability, error-free operation, web app uptime, optional Discord companion availability, third-party provider uptime, or suitability for a specific purpose.
- The Services and outputs are provided "as is" and "as available" to the maximum extent permitted by law.
9. Enforcement, Evidence Preservation, Suspension, and Termination
We may remove content, reject requests, throttle usage, restrict features, suspend access, terminate accounts, deny refunds to the extent permitted by law, or take other enforcement action where reasonably necessary for:
- policy enforcement;
- security, abuse prevention, fraud prevention, or legal compliance;
- generation or distribution of infringing, violent, pornographic/sexual, deceptive, or otherwise prohibited media;
- creation or use of deceptive synthetic media involving a real person's likeness or voice without authorization or required consent;
- attempts to evade safety systems, rate limits, moderation controls, or prior enforcement actions;
- failure to comply with these Terms.
We may preserve logs, prompts, outputs, metadata, moderation signals, and related evidence as reasonably necessary to investigate abuse, enforce these Terms, respond to disputes, protect the Services, or comply with legal obligations. We may cooperate with public authorities or rights holders where required by law or legal process.
You may stop using the Services at any time.
10. Limitation of Liability
To the maximum extent permitted by law:
- we disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement;
- we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, business opportunity, or data, arising out of or related to the Services or outputs;
- our total aggregate liability for all claims arising out of or relating to the Services will not exceed the greater of:
- the amounts you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim; or
- USD $100 (or local currency equivalent).
Nothing in these Terms excludes or limits liability that cannot be excluded by applicable law.
11. Indemnity
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Meaningful Creations, its affiliates, service providers, and personnel from third-party claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- your content, prompts, inputs, outputs, or public publication of outputs;
- your use of the Services;
- your violation of these Terms, applicable law, or third-party rights; or
- your failure to obtain authorization, consent, or disclosure required for your use case.
12. Dispute Resolution and Governing Law
- If you have a dispute, contact us first for informal resolution.
- If unresolved, disputes may be referred to binding individual arbitration where enforceable under applicable law.
- Class-action or representative proceedings are waived to the extent permitted by law.
- Governing law and venue are determined by applicable governing-law provisions in your service region and mandatory consumer protection law.
13. Changes to These Terms
We may update these Terms from time to time. Updated versions will be posted with a revised effective date. Continued use after updates indicates acceptance of the revised Terms unless applicable law requires a different form of notice or consent.
13A. Service Modification and Discontinuation
We may modify, suspend, or discontinue parts of the Services, including web app surfaces, optional Discord companion paths, third-party provider integrations, feature availability, moderation controls, and account surfaces, where reasonably necessary for operations, security, legal compliance, abuse prevention, or dependency changes outside our control.
